1. About Teranode Identity and the operator of Teranode Identity
1.1 Teranode Identity (available at https://nchainplatform.com/) (Teranode Identity) is an application that gives its users a digital credential solution, facilitating the issuance, holding, and verification of claims in verifiable credentials, offering a secure means to store and present credentials utilising the Bitcoin SV blockchain (Blockchain).
1.2 Teranode Identity is made available by us to subscribers or licensees (Customers), either 'as a service' available through API calls (SaaS Customers) or 'as a product' through licensing of the relevant intellectual property rights (Licensed Customers). These Terms and Conditions apply to both modes of access to and operation of Teranode Identity. The most recent version of these Terms and Conditions can be found at https://nchainplatform.com/terms-and-conditions. 1.3 Teranode Identity is made available and operated by Teranode Switzerland AG, a company registered in Switzerland with company number CHE-276.016.833 whose registered address is Alpenstrasse 15, 6300 Zug, Switzerland (we/us/our).
1.4 For purposes of these terms, unless stated otherwise, references to Teranode Identity shall be read as references to the Teranode Identity services operated by us if you are a SaaS Customer and to the licensed instance of Teranode Identity which you operate if you are a Licensed Customer.
2. About these terms
2.1 Our contract with you.
By accessing Teranode Identity and registering your account via the Product Suite Platform https://nchainplatform.com/ or otherwise (and whether in your own name or on behalf of the legal entity that you represent), you confirm that you understand these terms and that you agree to comply with them. These terms are a legal agreement between you and us.
2.2 What do these terms cover?
These terms govern the use of Teranode Identity by you and your registered users who are either users that want (i) a solution for the issuance and/or holding of credentials about themselves (Identity Holder), (ii) a means to confirm the current status of a credential which is presented to them and upon which they wish to rely (Verifier), or (iii) a means to issue credentials in respect of something or somebody else (Issuer) (together, you/your/Registered Users). These terms take precedence over and do not alter in any way the terms of any other agreement you may have with us for any other services, products, or otherwise. If you are a Customer and either have a master services agreement or similar agreement in place with us, or have separately agreed terms of access (Corporate Terms) then these terms apply to the extent that your use of Teranode Identity is not already governed by such Corporate Terms. Registered Users will be required to enter into these Terms and Conditions or Terms and Conditions governing the use of the Teranode Identity application, depending on how they will use the service.
2.3 Why you should read these terms.
Please read these terms carefully before you access Teranode Identity. These terms tell you who we are, how you and/or your Registered Users can use Teranode Identity, what to do if there is a problem and other important information.
2.4 There may be other or additional terms applicable from time to time.
Please note that there may be additional terms posted in the Teranode Identity User Guide and/or on https://nchainplatform.com/ in respect of Teranode Identity from time to time, which may, subject to your Corporate Terms, also apply to your use of Teranode Identity. They may be expressly incorporated into these terms by being mentioned here or by being published on https://nchainplatform.com/ in respect of Teranode Identity. In each case where additional or different terms apply, we will post notification of this on Teranode Identity or in accordance with your Corporate Terms.
2.5 We may update these terms.
We reserve the right to amend these terms from time to time. Every time you wish to use Teranode Identity, please check these terms to ensure you understand the terms that apply at that time. By continuing to use Teranode Identity following any update to these terms, we will assume that you have accepted the updated terms. These terms were most recently updated on the date stated at the top. Please contact us if you wish to see any of the previous versions of these terms. If you are a Licensed Customer please refer to your Corporate Terms for provisions relating to amendments to the terms of your licence.
3. How we may use your personal information
We will only use your and/or your Registered Users' personal information as set out in our Privacy Policy here https://nchainplatform.com/privacy-policy.
4.The functionality and availability of Teranode Identity
4.1 Teranode Identity User Guide & Functionality.
Please refer to the Teranode Identity User Guide to ensure you are aware of Teranode Identity's functionality from time to time and our suggested approach to its operation. You acknowledge that Teranode Identity is made available via the internet and involves the use of the Blockchain technology and as a result, the availability of Teranode Identity may be subject to limitations, delays, and other problems inherent in the use of such communication and data storage facilities. Consequently (i) we do not warrant that the use of Teranode Identity will be uninterrupted or error-free; and (ii) we will not be responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities.
4.2. Accessibility.
While we want to ensure that Teranode Identity is accessible and available at all times, we may suspend or restrict the availability of Teranode Identity at any time for business and operational reasons. We have the right to make any changes to the accessibility and functionality of Teranode Identity from time to time without notice, including, without limitation: (a) to address the Registered Users' needs; (b) to comply with any applicable laws; or (c) to add new functionalities, or improve existing functionalities. If you have difficulties accessing Teranode Identity, please let us know at [email protected] or contact us via the Teranode Product Suite Platform website. If you are a Licensed Customer please refer to your Corporate Terms for provisions relating to availability, accessibility and functionality.
4.3. Jurisdictional restrictions.
We may, in our sole discretion, not make Teranode Identity available in all markets and jurisdictions and may restrict use of all or a portion of Teranode Identity without any notice and any liability to you.
4.4 Document encryption.
All documentation and images uploaded or otherwise provided by you and/or your Registered Users to Teranode Identity are automatically encrypted using AES 256-bit, or equivalent, encryption key prior to transmission through Teranode Identity or storage within our systems. Such encryption safeguards the contents of the documentation and images against unauthorised access, subject always to clause 12 (Risks) and applicable limitations under these terms. Notwithstanding such encryption, you and your Registered Users remain solely responsible for maintaining the confidentiality and security of the documentation and images.
5. Use of Teranode Identity
5.1 Eligibility to use Teranode Identity.
You and each Registered User must meet the criteria listed below to register an account and use Teranode Identity. By accessing Teranode Identity, you and each of your Registered Users confirm that:
You/they are at least 18 years of age;
You/they have the full power, right and authority to agree to these terms;
You/they have successfully passed our KYC/AML checks, if we decide to conduct them;
You/they, and your/their use of Teranode Identity, will comply with all applicable laws and regulations;
You/they have not been previously suspended from the use of Teranode Identity or any other product or service offered by us or our group;
You/they are accessing Teranode Identity in your/their own name or, if you/they are doing so on behalf of someone else, you/they have the necessary authority to represent that party;
You/they are not subject to any financial sanctions, embargoes or other restrictions;
You/they are not subject to any laws or regulations in your/their country of nationality or residence or otherwise which would make it unlawful for you/them to use Teranode Identity or which would oblige us to possess any permission or regulatory standing; and
all the information provided by you/them to us is true and accurate and you/they will keep it updated at all times.
5.2 Further information.
We may contact you and/or Registered Users to ask for further information or documents to verify the information you provided to us. If you fail to provide us with such information or documentation, we may refuse your access to Teranode Identity.
5.3 Further KYC/AML checks.
We may screen your and/or Registered Users' activities in connection with Teranode Identity in compliance with KYC/AML regulatory requirements pursuant to any applicable laws and regulations. We take compliance seriously and we will take all necessary steps to prohibit fraudulent transactions, report suspicious activities, and prevent money laundering and any related acts that facilitate money laundering or other financial crimes.
5.4 Our right to reject or suspend your access.
We will have the right to refuse your and/or any Registered User's access to Teranode Identity and terminate these terms at any time at our sole discretion, in particular, if we believe that the information provided to us was incorrect or fraudulent. We may suspend your access and terminate these terms immediately and without notice if we believe that you and/or any Registered Users are in breach of these terms, no longer meet the eligibility criteria, failed to pay any applicable fees, interest, or taxes, or if we in our unfettered discretion determine that we are required to do so under any applicable law or regulations, or we are asked to do so by a regulator or any governmental body.
5.5 Right to use Teranode Identity. By accepting these terms:
5.5.1 SaaS Customers: subject to your Corporate Terms we grant to you a limited, non-exclusive, non-transferable, revocable right to access and use Teranode Identity, subject to your compliance with these terms, including clause 5.10.
5.5.2 Licensed Customers: subject to your Corporate Terms, we grant you a non-exclusive licence for the period stated in your Corporate Terms to use a copy of Teranode Identity (the Software) to operate an instance of the Teranode Identity at the site stated in your Corporate Terms. The scope of your use of the Software is limited as follows:
use of the Software shall be restricted to use of the Software in object code form for your normal business purposes (which shall not include allowing the use of the Software by, or for the benefit of, any person other than an employee of yours, and which may be defined more closely in your Corporate Terms);
you may make as many backup copies of the Software as may be necessary for its lawful use. You shall record the number and location of all copies of the Software and take steps to prevent unauthorised copying;
except as expressly stated in this clause, you have no right (and shall not permit any third party) to copy, adapt, reverse engineer, decompile, disassemble, modify, adapt or make error corrections to the Software in whole or in part except to the extent that any reduction of the Software to human readable form (whether by reverse engineering, decompilation or disassembly) is necessary for the purposes of integrating the operation of the Software with the operation of other software or systems used by you, unless we are prepared to carry out such action at a reasonable commercial fee and upon terms agreed between you and us.
5.5.3 You shall not:
sub-license, assign or novate the benefit or burden of this licence in whole or in part;
allow the Software to become the subject of any charge, lien or encumbrance; and
deal in any other manner with any or all of its rights and obligations under this agreement without our prior written consent, such consent not to be unreasonably withheld or delayed.
- 5.5.5.
You shall pay, for broadening the scope of the licences granted under this licence to cover any unauthorized use, an amount equal to the fees which we would have levied (in accordance with our normal commercial terms then current) had we licensed any such unauthorised use on the date when such use commenced.
- 5.5.6.
You shall permit us to inspect and have access to any cloud or similar means by which the Software is being kept, used or deployed and/or premises (and to the computer equipment located there) at or on which the Software is being kept, used or deployed, and have access to any records kept in connection with this licence, for the purposes of ensuring that you are complying with the terms of this licence, provided that we provide reasonable advance notice to you of such inspections, which shall take place at reasonable times.
5.6. Passwords.
You are responsible for keeping and safeguarding any keys, certificates, passwords, codes, user IDs, or other login information (together, Passwords) that have been provided to you or that are generated in connection with your use of Teranode Identity. If you lose the Passwords, you may not be able to access Teranode Identity. You agree to notify us immediately of any unauthorised use of the Passwords or unauthorised access to your account. We will not be liable to you for any losses or damages arising out of the unauthorised use of the Passwords or unauthorised access to your account.
5.7. Password recovery.
If you are a SaaS Customer and you lose the Passwords, you may be able to reset or recover the Passwords after being verified through your registered email address or phone number. Please contact us if you wish to reset or recover the Passwords at [email protected] or follow the relevant instructions on the Teranode Product Suite Platform website. If you are a Licensed Customer and you lose the Passwords, we will be unable to assist you with their recovery.
5.8. API Access.
Certain Registered Users may wish to interact with Teranode Identity through the APIs integrated into the Teranode Identity wallet. Where you are a SaaS Customer, such access to and use of the APIs will be subject to such Registered User entering into a separate API Access Licence Agreement with us via the Teranode Identity Issuer portal or Teranode Identity Verification portal (as appropriate).
5.9. Account closure.
Subject to your Corporate Terms, you may request to close your account at any time. Closing an account will not affect any rights and obligations incurred prior to the date of account closure. You are responsible for any fees, costs, expenses, charges, or obligations associated with the closing of your account. We reserve the right to charge, and you agree to reimburse us the costs of closing your account. Subject to the relevant agreements, your Registered Users can either uninstall the Teranode Identity Wallet application from their telephone(s) or other device(s), and/or delete their account if they are consuming an API linked to Teranode Identity.
5.10. Prohibited uses.
You and/or your Registered Users must not use Teranode Identity to:
Conduct or be involved (directly or indirectly) in any unsolicited or unauthorised advertising or promotional activity or any other form of similar solicitation (spam);
Conduct or be involved (directly or indirectly) in any activities which are, or may result in, a breach of any applicable laws (including local, national and international law or regulation), including, but not limited to, laws against money-laundering, gambling, terrorist financing, or any other type of financial crimes;
Conduct or be involved (directly or indirectly) in any activities which are, or may result in, a breach of any rights of any third party, including their intellectual property rights (for example their copyrights, patents or trade marks);
Engage (directly or indirectly) in speculative investments or any activity that may bring us, Teranode Identity, or any Registered User into disrepute (defamatory or not);
Engage (directly or indirectly) is wash trading, front-running, insider trading, market manipulation, and other forms of market-based fraud or deceit;
Conduct or be involved (directly or indirectly) in any sort of Ponzi scheme, pyramid scheme, or multi-level marketing program;
Engage (directly or indirectly) in any adult content and services, sale of weapons or drugs, including firearms, ammunition, narcotics, or controlled substances;
Act in any way that is unlawful, fraudulent, or has any unlawful or fraudulent purpose or effect (including providing any false or misleading information to us);
Disseminate any content that contains viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful, or is illegal, immoral or in any other way inappropriate or harmful;
Interfere in any way, including to disassemble, decompile or reverse-engineer, any software in Teranode Identity, or incorporate it into any other application;
License, sell, rent, lease, transfer, assign, distribute, display, or disclose Teranode Identity to any third party or otherwise commercially exploit Teranode Identity without our prior written permission;
Access any part of Teranode Identity to build a product or service which competes with Teranode Identity, or any functionality provided by it; or
Access other Registered Users' accounts without their consent or enable someone who does not meet the eligibility criteria to use Teranode Identity.
5.11. Access termination.
By breaching clause 5.10, you and/or your Registered Users may commit a criminal offence. We may report any such breach to the relevant enforcement authorities, and we will co-operate with those authorities by disclosing your identity to them. You agree that any such breach may result in immediate suspension or termination of your account and use of or licence to use Teranode Identity and any other product or service we provide. In the event that we suspend or terminate these terms or your account, you shall remain liable for all activity conducted on or with your account and use of Teranode Identity while it was active and for all amounts due hereunder, including payment of any applicable Teranode Identity Fees and Network Fees. If you wish to terminate your account or these terms, please contact us at [email protected] or such other address as we may notify from time to time for such purpose on the Teranode Product Suite Platform website.
6. Intellectual Property Rights
6.1.Intellectual property rights.
We are the owner or the licensee of all intellectual property rights in Teranode Identity. Those works are protected by copyright laws and treaties around the world. You are not permitted to copy or use any part of Teranode Identity other than in accordance with this clause 6. All such rights are reserved. Our status (and any other contributors) as the owner of Teranode Identity must always be acknowledged.
6.2. Linking to Teranode Identity.
You may link to the Teranode Product Suite Platform home page only, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part where none exists. We reserve the right to withdraw any previously granted linking permission to you without notice and any liability to you.
6.3. Content is provided for general information only.
The content on or made available in respect of Teranode Identity is provided for general information only. It is not intended to amount to advice on which you should rely. You must not use any part of the content on Teranode Identity for commercial purposes without obtaining a licence to do so from us. You must obtain professional advice before taking, or refraining from, any action based on the content on Teranode Identity. Although we make reasonable efforts to update the information on Teranode Identity, we make no representations, warranties or guarantees, whether express or implied, that the content on or made available in respect of Teranode Identity is accurate, complete, or up to date.
6.4. Third-party sites, products and services.
Where Teranode Identity or any content on or made available in respect of it contains links to other sites and resources provided by third parties, such as social media platform and digital asset wallet providers, these links are provided for information only. Such links should not be interpreted as approval by us of those linked sites and resources. We have no control over the contents of those sites or resources. Any interaction (or dispute) you may subsequently have with those third parties is subject to those third parties' terms only.
7. Account Registration, Self-Sovereign Identity (SSI) & the Teranode Identity Wallet
7.1. Teranode Identity Wallet.
If a Registered User meets the eligibility requirements and wants to use Teranode Identity, they must create an account and self-sovereign identity wallet (Teranode Identity Wallet) and have access to a supported device and network (please refer to the Teranode Identity User Guide to confirm supported device requirements). Depending on the configuration of your device, the user must select a security pin (PIN) and/or provide required biometric data (Biometrics) to create the Teranode Identity Wallet. For Registered Users of SaaS Customers: we will not have access to any user PIN and if the user loses their PIN, we will have no ability to reset or recover the PIN for them. Once the Teranode Identity Wallet is created, the user will be the sole owner of the Teranode Identity Wallet and we will not have access to the Teranode Identity Wallet, its PIN, the related Biometrics or any information stored therein. To the extent that an Teranode Identity Wallet contains Credentials issued through the Teranode Identity Issuer portal or verified by a Verifier using the Teranode Identity Verification portal our systems will, where we host those services, record those events, (but at all times the keys which enable the use of those items remains held in the device). The position of Registered Users of Licensed Customers will depend on the operation of the Teranode Identity Wallet utilised by the Licensed Customer.
7.2 By creating the Teranode Identity Wallet, the Registered User agrees to:
7.2.1 provide accurate, current, and complete information about themself;
7.2.2 maintain and promptly update any information they provide to us;
7.2.3 maintain the security of their Teranode Identity Wallet and not disclose the PIN (if applicable under the configuration of the relevant device) to anyone; and
7.2.4 notify us (in the case of SaaS Customers) or the relevant Licensed Customer (if relevant) immediately of any unauthorised or unexpected use of their Teranode Identity Wallet.
7.3. Further information.
If you are a SaaS Customer, we (or our appointed agents) may contact you and/or your Registered Users ask for further information or documents to verify the information you provided to us. If you fail to provide us with such information or documentation, we may refuse your access to Teranode Identity services and/or revoke the status of the decentralised identifier required to operate those services.
7.4. Blockchain.
Teranode Identity and the Teranode Identity Wallet will integrate with the BSV blockchain (Blockchain) to record certain transactions as part of the process by which Identity Holders prove ownership of the Credentials stored in their Teranode Identity Wallet. You acknowledge and agree that we do not control, maintain, or provide the Blockchain, and cannot control activity and data on the Blockchain. We shall not be liable to you or any Registered User or any third party for any transaction concluded, or not concluded as the case may be, on the Blockchain. For more information on the use of the Blockchain, please see 'Third-Party Products' section. The transactions recorded on the Blockchain will be cryptographically linked to the keys controlled by your Teranode Identity Wallet and/or the Teranode Identity Wallets of your Registered Users. You and your Registered Users acknowledge that this information cannot be erased from the Blockchain and accept this limitation on your ability to have your information deleted or amended.
7.5.Our right to reject or suspend your access.
We will have the right to refuse your and any Registered User's access to Teranode Identity and the Teranode Identity Wallet at our sole discretion, in particular, if we believe that information provided to us was incorrect or fraudulent. We may suspend or terminate your access immediately and without notice if we believe that you are in breach of these terms, no longer meet the eligibility criteria, or if we are required to do so under any applicable law or regulations or asked to do so by a regulator or any governmental body.
8. Functionality and accessibility of Teranode Identity
8.1. Functionality.
You acknowledge that Teranode Identity and the Teranode Identity Wallet are made available via the internet and as a result, the availability of Teranode Identity and the Teranode Identity Wallet may be subject to limitations, delays, and other problems inherent in the use of such communications facilities. Consequently (i) we do not warrant that the use of Teranode Identity and the Teranode Identity Wallet will be uninterrupted or error-free; and (ii) we will not be responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities.
8.2. SaaS Customer Accessibility
While we want to ensure that Teranode Identity and the Teranode Identity Wallet are accessible and available at all times, we may suspend or restrict the availability of Teranode Identity and the Teranode Identity Wallet at any time for business and operational reasons. We have the right to make any changes to the accessibility and functionality of Teranode Identity and the Teranode Identity Wallet from time to time without notice, including, without limitation: (a) to address users' needs; (b) to comply with any applicable laws; or (c) to add new functionalities, or improve existing functionalities. Alternatively, we may ask you to update Teranode Identity and the Teranode Identity Wallet for these reasons. If you choose not to install such updates or if you opt out of automatic updates, you may not be able to continue using Teranode Identity and the Teranode Identity Wallet. If you have difficulties accessing Teranode Identity or the Teranode Identity Wallet, please let us know at [email protected].
8.3. Jurisdictional restrictions.
We may, in our sole discretion, not make Teranode Identity and the Teranode Identity Wallet available in all markets and jurisdictions and may restrict use of all or a portion of Teranode Identity or the Teranode Identity Wallet for any reason without any notice and any liability to you.
9.How you and/or your Registered Users may use Teranode Identity
9.1 By agreeing to comply with these terms or the Teranode Identity Application Terms & Conditions (as applicable) and creating an Teranode Identity Wallet, Registered Users may:
9.1.1 download or stream a copy of Teranode Identity onto their mobile device(s);
9.1.2 use and display Teranode Identity on such device(s) for their personal purposes only;
9.1.3 use additional services we provide to support their permitted use of Teranode Identity;
9.1.4 create the Teranode Identity Wallet and share the Credentials (please see section 'How you and/or your Registered Users may use the Credentials' below) with the third parties in accordance with these terms; and
9.1.5 receive and use any free supplementary software code or update of Teranode Identity.
9.2.Teranode Identity Wallet Usage.
Registered Users are responsible for all activities that occur under their Teranode Identity Wallet, whether or not they know about them. Registered Users accept all risks of unauthorised access to their Teranode Identity Wallet and any other information they provide to us. We will not be liable to you or Registered Users for any losses or damages arising out of the unauthorised use of the PIN (if applicable to the device) or unauthorised access to their Teranode Identity Wallet.
10. How you and/or your Registered Users may use the Credentials
10.1. Credentials.
Once a Registered User has created an Teranode Identity Wallet, they will be able to select and upload credentials such as full name, photo, date of birth, address, mobile number, email address, gender, nationality, and other personal information together with credentials issued to that Registered User by an Issuer (Credentials) to their Teranode Identity Wallet. Uploading of the Credentials to the Teranode Identity Wallet is at the Registered User's own risk, and we will not be liable to you, any Registered User or any third party for any loss or damage to the Credentials, or the content, accuracy, or completeness of the Credentials.
10.2. Credential Standards.
All Credentials uploaded to the Teranode Identity Wallet: (a) must be accurate; (b) must comply with all applicable laws; (c) must not be offensive; (d) must comply with any technical requirements specified in the Teranode Identity User Guide; and (e) must not infringe any third-party rights. You and Registered Users understand and agree that we are not required to monitor the Credentials and we cannot remove or alter any Credentials that has been uploaded to an Teranode Identity Wallet for use with Teranode Identity. All Registered Users are responsible for complying with the Credentials standards and you will indemnify us in full for any loss or damage we suffer as a result of breach of the Credential standards by you or your Registered Users.
10.3. Ownership of Credentials.
By uploading the Credentials to the Teranode Identity Wallet, Registered Users: (a) represent and warrant that they have the right to upload the Credentials as the sole owner; and (b) grant us a non-exclusive, worldwide, royalty-free, fully paid up, transferrable, sublicensable, perpetual, irrevocable licence to display, verify, distribute, store, and otherwise use the Credentials and the Teranode Identity Wallet to the extent and in such a manner as is necessary to operate Teranode Identity.
10.4. Sharing of Credentials.
The Teranode Identity Wallet allows Identity Holders to use Teranode Identity to share their Credentials with Verifiers. While the Teranode Identity Wallet comprises all of a Registered User's Credentials, the user can decide which Credentials to share with Verifiers. To share Credentials (creating a Verifiable Presentation), the Identity Holder uses of the Verification Request functionality available from time to time as detailed in the Teranode Identity User Guide, such as by scanning a QR code generated by a Verifier to request the Credential. The Verifier will determine whether the Credential satisfies their requirements and the individual trust elements that underpin it: validity of the Identity Holder signature, the status of the decentralised identifier linked to the Credential, validity of the signature of the Issuer and trustworthiness of the Issuer. Registered Users are responsible for ensuring that the Credentials they present to a Verifier meet the requirements of that Verifier.
10.5. Receiving Credentials.
When a Verifier receives a Verifiable Presentation, Teranode Identity supports verification of the decentralised identifier of the Issuer and Identity Holder, status of the Credential (confirming whether it has been revoked or not) and the structure of Verifiable Presentation. This information will support Verifiers in their decisions as to whether to trust the Verifiable Presentation. We shall not be liable to you or any Registered User for any issues or delays with a Verifier's scanning and/or receiving Verifiable Presentations or for the accuracy, validity, or completeness of other user's Credentials. For SaaS Customers, if you or Registered Users have any issues with receiving Verifiable Presentations, please contact us at [email protected].
10.6. Use of Credentials in other products.
Your Credentials and/or Verifiable Presentations will not be recorded on the Blockchain by Teranode Identity. You and/or your Registered Users may, however, depending on the functionality available, decide to conclude another form of Blockchain transaction making use of one or more of the Credentials contained in your/their Teranode Identity Wallet. (For example, to sign documentation using a product such as Teranode Sign. Please see the Teranode Sign Terms and Conditions for more information and current functionality. The terms and conditions of that other product will apply in those circumstances.) We shall not be liable to you or any Registered Users for any issues or delays with presentation or use of any Credentials or for the accuracy, validity, or completeness of any other Registered User's Credentials.
10.7. Blockchain transactions.
A unique identifier linked to the keys controlled by a Registered User's Teranode Identity Wallet will be recorded on the Blockchain (a) when the Registered User requests a decentralised identifier (DID), and (b) when the DID is linked to a DID Document (during the Credential creation process). Please refer to the Teranode Identity User Guide for more details. By using Teranode Identity you and Registered Users accept that the information stored on the Blockchain, and which is cryptographically linked to their Teranode Identity Wallets, can never be erased from the Blockchain.
11. Fees
11.1. Teranode Identity Fees.
We will charge fees in connection with Teranode Identity (Teranode Identity Fees) in accordance with your Corporate Terms or as otherwise notified. Teranode Identity Fees may be used to cover the costs of maintaining Teranode Identity and other third-party services provided through Teranode Identity. We reserve the right to change Teranode Identity Fees at any time in our sole discretion. Updated Teranode Identity Fees will become effective at the end of then-current billing period and you agree to pay any Teranode Identity Fees applicable to you. Your continued use of Teranode Identity following any change to Teranode Identity Fees shall constitute your agreement to pay the updated Teranode Identity Fees. 11.2. 2 Teranode Identity Subscription.
If you pay Teranode Identity Fees on a subscription basis, you shall provide to us your credit card details and any other relevant contact and billing details as requested by us. We currently do not accept cryptocurrency payment methods, but we will notify you if this situation changes. If you fail to pay any reoccurring Teranode Identity Fees on the due date or your payment method is declined, we reserve the right to terminate your access to Teranode Identity immediately without any liability to you.
11.3. Network Fees.
The Blockchain or supported bridge may charge a fee in connection with Teranode Identity transactions (Network Fees). Subject to your Corporate Terms you are responsible for, and agree to pay, all Network Fees associated with your and/or your Registered Users' use of Teranode Identity. We may charge fees in accordance with your Corporate Terms to the extent that your usage of Teranode Identity exceeds the allowances and/or restrictions detailed in your Corporate Terms.
11.4. Free Trial.
We may, in our sole discretion, provide Teranode Identity on a free trial basis for a limited period of time (Free Trial). If the Free Trial is offered to you, you may be required to provide your credit card details and any other relevant contact and billing details as requested by us. You may be responsible to pay Teranode Identity Fees and the Network Fees at the end of the Free Trial unless you notify us in writing that you wish to terminate these terms and your access to Teranode Identity. We reserve the right to cancel the Free Trial and your access to Teranode Identity at any time without any liability to you. Please note that notwithstanding that you are using a Free Trial, all these Terms & Conditions apply and Blockchain transactions will be triggered by your use of Teranode Identity.
11.5. Taxes.
You are responsible for any taxes that may be due in connection with your and/or your Registered Users use of Teranode Identity. It is your sole responsibility to determine whether, and to what extent, any taxes apply to your use of Teranode Identity and to withhold, collect, report, and remit the correct amount of tax to the appropriate tax authorities. You will indemnify us in full in the event we are required to pay any taxes in respect of your and/or your Registered Users' use of Teranode Identity.
11.6. No refunds.
All amounts and fees referred to in these terms, including Teranode Identity Fees, shall be: (a) payable in pounds sterling or any other currency specified by us; (b) non-cancellable and non-refundable; and (c) exclusive of value added tax and sales taxes (if any), which shall be payable by you in addition.
12. Risks
12.1. Risks.
By using Teranode Identity, you and your Registered Users must understand and accept the following risks:
(a) The nature of Teranode Identity, the Teranode Identity Wallet, Credential creation and sharing process may be very complex, and their terms, features, or risks may not be readily or fully understood by users due to the complex structure, terms, novelty and reliance on technological features;
(b) Changes in laws and regulations may affect your rights and/or the rights of your Registered Users to use Teranode Identity;
(c) The Teranode Identity Wallet and the use of Teranode Identity and/or the use of the Blockchain may not be regulated in all jurisdictions and you and your Registered Users may not be afforded standard regulatory protections;
(d) The software protocols that underlie the Blockchain are typically open-source projects and may be subject to sudden and dramatic changes that might have an impact on the availability and usability of Teranode Identity;
(e) Linking of Teranode Identity to Teranode Sign exposes the documentation, the Teranode Identity Wallet, and the Credentials to the risk of loss and security breaches;
(f) Once transactions are recorded on the Blockchain, they cannot be reversed, modified, erased, or deleted;
(g) Systems, networks, and protocols downtime, or the failure of hardware, software, and internet connections may affect your and/or your Registered Users' ability to use or access Teranode Identity and/or the Teranode Identity Wallet, issue or request issuance of Credentials, share or use Credentials; and
(h) Teranode Identity, the Teranode Identity Wallet and Credentials (including DID and DID documentation) may be susceptible to fraud, cyberattacks or technological issues which may affect your and/or your Registered Users' ability to use Teranode Identity.
12.2. Additional Risks.
This clause 12 is not intended to disclose all of the risks associated with the use of Teranode Identity. You and/or your Registered Users should ensure that usage decisions, including issuing and sharing Credentials, are made on a well-informed basis, and each should undertake their own assessment as to the suitability of Teranode Identity for their specific needs. We may update this clause 12 periodically to list additional risks, but we accept no liability to you or any third party in the event that any risk is not addressed in this clause 12.
13. Third-party sites, products and services
Teranode Identity may from time to time integrate with third-party platforms and services, for example, digital wallets and payment processing services (Third-Party Products). You agree that all such Third-Party Products are provided by the relevant third parties, not by us, and are subject to the third-party terms and conditions applicable to such Third-Party Products. We will not be responsible for the availability of any such Third-Party Products and will not be liable to for any matters related to the delivery of (or a failure to deliver) any such Third-Party Products to you and/or your Registered Users.
14.Disclaimers and liability
14.1 We are not responsible or liable for the actions of Registered Users of Teranode Identity.
All Registered Users of Teranode Identity must ensure that they have all necessary rights, authorisations, and permissions to use all functionality of Teranode Identity. We will not be responsible or liable for the acts or omissions of any Registered User of Teranode Identity.
14.2. We are not responsible for the loss or damage to Teranode Identity Wallet and/or Credentials.
We are not responsible for any loss or damage to the Teranode Identity Wallet and/or Credentials that may occur as a result of failure by Registered Users to properly secure the Passwords and/or manage their Teranode Identity accounts.
14.3. We are not responsible for delays outside our control
If the Teranode Identity Wallet, or Credential issuance or sharing process or other functionality of Teranode Identity which is necessary for its operation is delayed by an event outside our control, including as a result of any delays in the Blockchain, we will not be liable to you, any Registered User or any third party for delays caused by such event.
14.4. We are not responsible for the Teranode Identity Wallet.
Use of the Teranode Identity Wallet (and linking it to other Teranode products) is at a Registered User's own risk, and we will not be liable for accidental or fraudulent usage of the Teranode Identity Wallet or any transaction concluded using the Teranode Identity Wallet.
14.5. We do not make any warranties in respect of Teranode Identity
Teranode Identity and any content provided to you and/or your Registered Users are provided on an “as is” and “as available” basis and we make no representations or warranties (whether express or implied) that:
(a) Teranode Identity will meet your requirements or those of your Registered Users;
(b) Teranode Identity will be secure or uninterrupted;
(c) Teranode Identity will be free of viruses, bugs, or any malicious content;
(d) The results and outcomes obtained from the use of Teranode Identity will meet your expectations or those of your Registered Users or be fit for a particular purpose (and in particular that any given Verifier will accept Credentials presented to them);
(e) The transactions on the Blockchain will be executed, accepted, or recorded; and
(f) The content on or made available in respect of Teranode Identity will be accurate, reliable, complete, or error-free
14.6. Disclaimer.
To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express or implied, statutory or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, title and non-infringement as to Teranode Identity and any content on Teranode Identity. This does not affect any warranties that cannot be excluded or limited under applicable law.
14.7. Limitation of liability.
To the fullest extent permitted by law, in no event will we be liable to you or any third party for any: (a) loss of profit; (b) loss of sales; (c) loss of data or information, including loss of Credentials; (d) damage to goodwill; (e) loss of revenue; (f) loss of use; and (g) indirect, consequential, exemplary, incidental, special or punitive damages, arising in connection with the use of Teranode Identity or these terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, and whether foreseeable or not. Notwithstanding anything to the contrary in these terms, in no event will our total aggregate liability to you exceed GBP £100 or, if different, the amount stated in your Corporate Terms. The limitations and exclusions of liability in this clause 14.7 or anywhere else in these terms will not apply to our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability which cannot be limited or excluded by law.
14.8. Your liability to us.
To the fullest extent permitted by law, you agree to indemnify, defend and hold us harmless, against all liabilities, costs, expenses, damages and losses suffered or incurred by us arising out of or in connection with: (a) your and/or your Registered Users' use of Teranode Identity; (b) your failure to perform your obligations under these terms; (c) your and/or your Registered Users' violation of any applicable laws and regulations; (d) your and/or your Registered Users' infringement of any third-party rights (including intellectual property rights); (e) any false, inaccurate, misleading or deceptive information provided by you to us; (f) any investigation, claim, suit, action or other proceeding against us relating to or arising out of your and/or your Registered Users' use of Teranode Identity; and (g) breach of any representations, warranties and undertakings made by you to us under these terms.
15. Other important terms
15.1. No partnership or agency.
Nothing in these terms is intended to, or shall be deemed to, establish any partnership or joint venture between you and us, constitute any party the agent of another party, or authorise any party to make or enter into any commitments for or on behalf of any other party.
15.2. No exclusivity.
These terms shall not prevent us from entering into similar agreements with third parties, or from independently developing, using, selling, or licensing products or services which are similar to those provided under these terms.
15.3. Entire agreement.
These terms, together with your Corporate Terms and any relevant API Licence Access Agreement, constitute the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between the parties relating to its subject matter.
15.4. Variation.
Subject to your Corporate Terms and in accordance with clause 2.5, we may vary amend, replace, supplement, delete, or vary these terms or any part of these terms at any time without notice to you.
15.5. Assignment.
We may assign our rights and obligations under these terms (without your prior express consent), provided that your rights under these terms remain unaffected. You must not assign your rights and obligations under these terms.
15.6. Effect of termination.
Termination or expiry of these terms shall not affect any of ours or your rights, remedies, obligations or liabilities that have accrued up to the date of termination or expiry, including the right to claim damages in respect of any breach of these terms which existed at or before the date of termination or expiry.
15.7. Transfer.
We may transfer the whole of part of the business to any third party. In the event that we are acquired by or merged with a third party, we may transfer or assign your information as part of the acquisition, merger, sale or other change of control.
15.8. Events outside control.
Neither party will have any liability under or be deemed to be in breach of these terms for any delays or failures in performance of these terms which result from circumstances beyond its reasonable control.
15.9. Waiver.
Any right or remedy granted to us for breach of these terms will be in addition to all other rights and remedies available to us. If we fail or delay to exercise any right or remedy, or only exercise the same in part, this does not mean that we waive such right or remedy in full in the future.
15.10. Severance.
If a court finds any part of these terms illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
15.11. Third-party rights.
A person or entity who is not a party to these terms has no right to enforce any of these terms.
15.12. Notices.
Any notice given in connection with these terms shall be in writing and shall be either delivered by hand or by pre-paid first-class post or other next working day delivery service at a party's registered office (if a company) or its principal place of business (in any other case), or sent by email to the email addresses provided by that party.
15.13. Governing law and jurisdiction.
These terms and any dispute or claim arising out of, or in connection with, them, their subject matter or formation (including non-contractual disputes or claims) will be governed by, and interpreted in accordance with, the laws of England and Wales and the parties agree that the courts of England and Wales will have exclusive jurisdiction to settle such disputes or claims.
