PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE TERANODE IDENTITY APP. LAST UPDATED: 13 May 2025

These terms govern the use of Teranode Identity verification application (available at https://teranode.group/) (Teranode Identity App) that gives its users (you/your) a digital credential solution, facilitating the issuance, holding, and verification of claims in verifiable credentials, offering a secure means to store and present credentials.

By registering your account on the Teranode Identity App, you confirm that you understand these terms and that you agree to comply with them. These terms are a legal agreement between you and us. If you do not agree to these terms, you must not access the Teranode Identity App.

Who we are and how to how to contact us

Who we are. Teranode Identity App is provided by Teranode Switzerland AG, a company registered in Switzerland with company number CHE-276.016.833 whose registered address is Alpenstrasse 15, 6300 Zug, Switzerland (we/us/our).

Google Play/Apple App Store terms also apply

Please note that there may be additional terms posted on the Teranode Identity App from time to time, which may also apply to your use of the Teranode Identity App. They may be expressly incorporated into these terms by being mentioned here or by being published on the Teranode Identity App. This may include the rules and policies of the Apple App Store and Google Play.

The Apple App Store or Google Play Store's rules and policies (as the case may be) will apply instead of these terms where there are contradictions between the two. In any other case, these terms will take precedence over any other terms, rules or policies that may apply to your use of the Teranode Identity App.

Changes to these terms

We may need to change these terms to reflect changes in law, technology related to the Teranode Identity App (including the smart contracts, consensus algorithms, and networks), best practice, or to deal with additional features we introduce. We will post notification of any changes to these terms and update the 'Last Updated' date at the top of these terms. The most recent version of these Terms and Conditions can be found at https://docs.teranode.group/tng-legal. Further guides and documentation relating to Teranode Identity can be found at https://docs.teranode.group/tng-identity-documentation (Teranode Identity User Guide).

If you do not accept the notified changes you may continue to use the Teranode Identity App in accordance with the existing terms, but certain new features or content may not be available to you. You can also terminate your contract with us by uninstalling the Teranode Identity App from your telephone(s) or other device(s), or by emailing us at [email protected].

How we may use your personal information

We will only use your personal information as set out in our Privacy Policy here https://docs.teranode.group/tng-legal/privacy-policy-app.

Eligibility to use Teranode Identity App

You must meet the criteria listed below to use the Teranode Identity App:

You are at least 18 years of age;
You have the full power, right and authority to agree to these terms;
You have successfully passed any KYC/AML checks which we may require of you;
You will comply with all applicable laws and regulations;
You have not been previously suspended from the use of the Teranode Identity App or any other Teranode product or service;
You are accessing the Teranode Identity App in your own name or, if you are doing so on behalf of someone else, you have the necessary authority to represent that party;
You are not subject to any financial sanctions, embargoes or other restriction;
You are not subject to any laws or regulations in your country of nationality or residence or in the location in which you are using the Teranode Identity App which would make it unlawful for you to use the Teranode Identity App; and
All the information provided by you to us is true and accurate and you will keep it updated at all times.

When you create an account to use the Teranode Identity App you will be asked to confirm that you satisfy the criteria listed above. Through your continued use of the Teranode Identity App you represent and warrant to us you continued satisfaction of the criteria listed above.

Account Registration

Self-Sovereign Identity (SSI) & Teranode Identity Wallet. If you meet the eligibility requirements and want to use the Teranode Identity App, you must create an account and SSI wallet (Teranode Identity Wallet) and have access to a supported device and network (please refer to user documentation to confirm your device is supported). Depending on the configuration of your device, you must select a security pin (PIN) and/or provide your required biometric data (Biometrics) to create the Teranode Identity Wallet. We will not have access to your PIN and if you lose the PIN, we will have no ability to reset or recover the PIN. We will not have access to your Biometrics. Once the Teranode Identity Wallet is created, you will be the sole owner of the Teranode Identity Wallet and we will not have access to the Teranode Identity Wallet or any information stored therein.

By creating the Teranode Identity Wallet, you agree to:

provide accurate, current, and complete information about you;
maintain and promptly update any information you provide to us;
maintain the security of your Teranode Identity Wallet and not disclose the PIN (if applicable under the configuration of your device) to anyone; and
notify us immediately of any unauthorised or unexpected use of your Teranode Identity Wallet or credentials.

Further information. We (or our appointed agents) may contact you and ask for further information or documents to verify the information you provided to us. If you fail to provide us with such information or documentation, we may refuse your access to Teranode Identity services and/or revoke the status of the decentralised identifier required to operate those services.

Blockchain. The Teranode Identity App and the Teranode Identity Wallet will integrate with the BSV blockchain (Blockchain) to record certain transactions as part of the process by which you prove ownership of the Credentials stored in your Teranode Identity Wallet. You acknowledge and agree that we do not control, maintain, or provide the Blockchain, and cannot control activity and data on the Blockchain. We shall not be liable to you or any third party for any transaction concluded on the Blockchain. For more information on the use of the Blockchain, please see 'Third-Party Products' section. The transactions recorded on the Blockchain will be cryptographically linked to the keys controlled by your Teranode Identity Wallet. You acknowledge that this information cannot be erased from the Blockchain and accept this limitation on your ability to have your information deleted or amended.

Our right to reject or suspend your access. We will have the right to refuse your access to the Teranode Identity App and the Teranode Identity Wallet at our sole discretion, in particular, if we believe that the information provided to us was incorrect or fraudulent. We may suspend or terminate your access immediately and without notice if we believe that you are in breach of these terms, no longer meet the eligibility criteria, or if we are required to do so under any applicable law or regulations or asked to do so by a regulator or any governmental body.

Functionality and accessibility of Teranode Identity App

Functionality. You acknowledge that the Teranode Identity App and the Teranode Identity Wallet is made available via the internet and as a result, the availability of the Teranode Identity App and the Teranode Identity Wallet may be subject to limitations, delays, and other problems inherent in the use of such communications facilities. Consequently (i) we do not warrant that the use of the Teranode Identity App and the Teranode Identity Wallet will be uninterrupted or error-free; and (ii) we will not be responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities.

Accessibility. While we want to ensure that the Teranode Identity App and the Teranode Identity Wallet are accessible and available at all times, we may suspend or restrict the availability of the Teranode Identity App and the Teranode Identity Wallet at any time for business and operational reasons. We have the right to make any changes to the accessibility and functionality of the Teranode Identity App and the Teranode Identity Wallet from time to time without notice, including, without limitation: (a) to address users' needs; (b) to comply with any applicable laws; or (c) to add new functionalities, or improve existing functionalities. Alternatively, we may ask you to update the Teranode Identity App and the Teranode Identity Wallet for these reasons. If you choose not to install such updates or if you opt out of automatic updates, you may not be able to continue using the Teranode Identity App and the Teranode Identity Wallet. If you have difficulties accessing the Teranode Identity App or the Teranode Identity Wallet, please let us know at [email protected].

Jurisdictional restrictions. We may, in our sole discretion, not make the Teranode Identity App and the Teranode Identity Wallet available in all markets and jurisdictions and may restrict use of all or a portion of the Teranode Identity App or the Teranode Identity Wallet for any reason without any notice and any liability to you.

Encryption. All images and data stored in the Teranode Identity App are automatically encrypted using AES 256-bit, or equivalent, encryption key. Such encryption safeguards the contents of the images and data against unauthorised access, subject always to the section titled Risks and applicable limitations under these terms. Notwithstanding such encryption, you and your registered users remain solely responsible for maintaining the confidentiality and security of the documentation and images.

How you may use Teranode Identity App

By agreeing to comply with these terms and creating the Teranode Identity Wallet, you may:

Download or stream a copy of the Teranode Identity App onto your mobile device(s);
Use and display the Teranode Identity App on such device(s) for your personal purposes only;
Use additional services we provide to support your permitted use of the Teranode Identity App;
Create the Teranode Identity Wallet and share the Credentials (please see section 'How you may use the Credentials' below) with the third parties in accordance with these terms; and
Receive and use any free supplementary software code or update of the Teranode Identity App

Teranode Identity Wallet Usage. You are responsible for all activities that occur under your Teranode Identity Wallet, whether or not you know about them. You accept all risks of unauthorised access to your Teranode Identity Wallet and any other information you provide to us. We will not be liable to you for any losses or damages arising out of the unauthorised use of the PIN or unauthorised access to your Teranode Identity Wallet.

Intellectual property rights

Intellectual property rights. We are the owner or the licensee of all intellectual property rights in the Teranode Identity App. Those works are protected by copyright laws and treaties around the world. All such rights are reserved. Our status (and any other contributors) as the owner of the Teranode Identity App must always be acknowledged. You have no intellectual property rights in, or to, the Teranode Identity App other than the right to use them in accordance with these terms.

Content is provided for general information only. The content on the Teranode Identity App is provided for general information only. It is not intended to amount to advice on which you should rely. You must not use any part of the content on the Teranode Identity App for commercial purposes without obtaining a licence to do so from us. Although we make reasonable efforts to update the content on the Teranode Identity App, we make no representations, warranties or guarantees, whether express or implied, that the content on the Teranode Identity App is accurate, complete, or up to date.

Third-party sites. The Teranode Identity App may contain links to other independent websites which are not provided by us. Such independent sites are not under our control, and we are not responsible for and have not checked and approved their content or their privacy policies (if any). You will need to make your own independent judgement about whether to use any such independent sites, including whether to buy any products or services offered by them.

License restrictions

License. We give you a personal right to use the Teranode Identity App as set out in these terms. You may not transfer the Teranode Identity App to someone else, whether for money or for free. If you sell any device(s) on which the Teranode Identity App is installed, you must remove the Teranode Identity App from it. If you download or stream the Teranode Identity App onto any telephone(s) or other device(s) not owned by you, you must have the owner's permission to do so. You will be responsible for complying with these terms, whether or not you own the telephone(s) or other device.

Subject to these terms, you agree that you will:

Not rent, lease, sub-license, loan, or otherwise make available, the Teranode Identity App in any form, in whole or in part to any person without prior written consent from us;
Not copy the Teranode Identity App, except as part of the normal use of the Teranode Identity App, or where it is necessary for the purpose of back-up or operational security;
Not disassemble, de-compile, reverse engineer, or create derivative works based on the whole or any part of the Teranode Identity App;
Not translate, merge, adapt, vary, alter or modify, the whole or any part of the Teranode Identity App nor permit the Teranode Identity App or any part of them to be combined with, or become incorporated in, any other programs, except as necessary to use the Teranode Identity App on devices as permitted in these terms; and
Comply with all applicable technology control or export laws and regulations that apply to the technology used or supported by the Teranode Identity App

How you may use the Credentials.

Credentials. Once you have created the Teranode Identity Wallet, you will be able to select and upload your self-issued credentials and any credentials issued to you by an Issuer, such as your full name, photo, date of birth, address, mobile number, email address, gender, nationality, and other personal information (Credentials) to the Teranode Identity Wallet. Uploading of the Credentials to the Teranode Identity Wallet is at your own risk, and we will not be liable to you or any third party for any loss or damage to the Credentials, or the content, accuracy, or completeness of the Credentials.

Credential Standards. All Credentials uploaded to the Teranode Identity Wallet: (a) must be accurate; (b) must comply with all applicable laws; (c) must not be offensive; (d) must comply with any technical requirements specified in the User Guide; and (e) must not infringe any third-party rights. You understand and agree that we are not required to monitor the Credentials and we cannot remove or alter any Credentials that has been uploaded to your Teranode Identity Wallet for use with the Teranode Identity App. All registered users are responsible for complying with the Credentials standards and you will indemnify us in full for any loss or damage we suffer as a result of your breach of the Credential standards.

Ownership of Credentials. By uploading the Credentials to the Teranode Identity Wallet, you: (a) represent and warrant that you are have the right to upload the Credentials as the sole owner; and (b) grant us a non-exclusive, worldwide, royalty-free, fully paid up, transferrable, sublicensable, perpetual, irrevocable licence to display, verify, distribute, store, and otherwise use the Credentials and the Teranode Identity Wallet to the extent and in such a manner as is necessary to operate the Teranode Identity App.

Sharing of Credentials. The Teranode Identity Wallet allows you to use the Teranode Identity App to share your Credentials with recipients who wish to confirm the current status of a credential which is presented to them and upon which they wish to rely (Verifier). While the Teranode Identity Wallet comprises all of your Credentials, you can decide which Credentials to share with Verifiers. To share Credentials (creating a Verifiable Presentation), use the functionality available at the time (as detailed in the User Guide), such as by scanning a QR code generated by a Verifier to request the Credential. The Verifier will determine whether the Credential satisfies their requirements and the individual trust elements that underpin it: validity of the Identity Holder signature, the status of the decentralised identifier linked to the Credential, validity of the signature of the Issuer and trustworthiness of the Issuer. You are responsible for ensuring that the Credentials you present to a Verifier meet the requirements of that Verifier.

Receiving Credentials. When a Verifier receives a Verifiable Presentation, the Teranode Identity App supports verification of the decentralised identifier of the Issuer and Identity Holder, status of the Credential (confirming whether it has been revoked or not) and the structure of Verifiable Presentation. This information will support Verifiers in their decisions as to whether to trust the Verifiable Presentation. We shall not be liable to you for any issues or delays with Verifier's scanning and/or receiving Verifiable Presentations or for the accuracy, validity, or completeness of other user's Credentials. Use of Credentials in other products.

Your Credentials and/or Verifiable Presentations will not be recorded on the Blockchain by the Teranode Identity App. You may, however, depending on the functionality available to you, decide to conclude another form of Blockchain transaction making use of one or more of the Credentials contained in your Teranode Identity Wallet (such as to sign documentation using a product such as Teranode Sign; please see the Teranode Sign Terms and Conditions for more information and current functionality. The terms and conditions of that other product will apply in those circumstances.). We shall not be liable to you for any issues or delays with presentation or use of any Credentials or for the accuracy, validity, or completeness of any other user's Credentials.

Blockchain transactions. A unique identifier linked to the keys controlled by your Teranode Identity Wallet will be recorded on the Blockchain (a) when you request a decentralised identifier (DID), and (b) when the DID is linked to a DID Document (during the Credential creation process). Please refer to the User Guide for more details. By using the Teranode Identity App you accept that the information stored on the Blockchain, and which is cryptographically linked to your Teranode Identity Wallet, can never be erased from the Blockchain.

Third-Party Products

The Teranode Identity App may from time to time integrate with third-party platforms and services, for example, the Blockchain or Credential verification services (Third-Party Products). You agree that all such Third-Party Products are provided by the relevant third parties, not by us, and are subject to the third-party terms and conditions applicable to such Third-Party Products. We will not be responsible for the availability of any such Third-Party Products and will not be liable to you for any matters related to the delivery of (or a failure to deliver) any such Third-Party Products to you.

No rights for third parties

If the rules and policies of the Google Play Store and/or the Apple App Store create a right for Google or Apple respectively to enforce these terms, then these terms may be enforced by Google or Apple accordingly. Otherwise, these terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these terms.

Fees and taxes

Teranode Identity App Fees. We may charge fees in connection with your use of the Teranode Identity App (Teranode Identity App Fees). Teranode Identity App Fees may be used to cover the costs of maintaining the Teranode Identity App and other third-party services provided through the Teranode Identity App. You are responsible for all fees (including but not limited to internet fees and carrier data plans) and taxes associated with your use of the Teranode Identity App.

Changes to Teranode Identity App Fees. We reserve the right to change Teranode Identity App Fees at any time in our sole discretion. Updated Teranode Identity App Fees will become effective at the end of then-current billing period and you agree to pay any Teranode Identity App Fees applicable to you. Your continued use of the Teranode Identity App following any change to Teranode Identity App Fees shall constitute your agreement to pay the updated Teranode Identity App Fees.

Network Fees. The Blockchain or supported bridge may charge a fee in connection with the Teranode Identity Wallet and the Credentials (Network Fees). From time to time we may provide you with a certain number of free uses of the Teranode Identity App (Allowance). In the event that your use of the Teranode Identity App exceeds your Allowance or we do not grant you an Allowance, you will be responsible for, and agree to pay, all Network Fees associated with your use of the Teranode Identity Wallet and the Credentials.

Taxes. You are responsible for any taxes that may be due in connection with your use of the Teranode Identity App and the Teranode Identity Wallet. It is your sole responsibility to determine whether, and to what extent, any taxes apply to your use of the Teranode Identity App and the Teranode Identity Wallet, and to withhold, collect, report, and remit the correct amount of tax to the appropriate tax authorities. You will indemnify us in full in the event we are required to pay any taxes in respect of your use of the Teranode Identity App and the Teranode Identity Wallet.

No refunds. All amounts and fees referred to in these terms, including Teranode Identity App Fees, shall be: (a) payable in pounds sterling or any other currency specified by us; (b) non-cancellable and non-refundable; and (c) inclusive of value added tax.

Risks

Risks. By using the Teranode Identity App, you understand and accept the following risks:

the nature of the Teranode Identity App, the Teranode Identity Wallet, and the Credentials may be very complex, and their terms, features, or risks may not be readily or fully understood due to the complex structure, novelty and reliance on technological features;
changes in laws and regulations may affect your rights to use the Teranode Identity App, the Teranode Identity Wallet, and the Credentials;
the Teranode Identity Wallet, the Credentials, and the use of the Teranode Identity App may not be regulated in all jurisdictions and you may not be afforded standard regulatory protections;
the software protocols that underlie the Blockchain are typically open-source projects and may be subject to sudden and dramatic changes that might have an impact on the availability and usability of the Teranode Identity App, the Teranode Identity Wallet and the Credentials;
linking of the Credentials to the Teranode Identity Wallet may expose the Credentials to the risk of loss from, amongst other things, security breaches;
systems, networks, and protocols downtime, or the failure of hardware, software, and internet connections may affect your ability to access the Teranode Identity App, the Teranode Identity Wallet, and the Credentials; and
the Teranode Identity App and the Teranode Identity Wallet may be susceptible to fraud, technological issues, or cyberattacks which may affect your ability to use the Teranode Identity App.

Additional Risks. This section is not intended to disclose all of the risks associated with the use of the Teranode Identity App and the Teranode Identity Wallet. You should ensure that your decisions, including creating the Teranode Identity Wallet, uploading and verifying Credentials are made on a well-informed basis, and you should undertake your own assessment as to the suitability of the Teranode Identity App, as well as the associated technology (included but not limited to blockchain), for your specific needs. We may update this section periodically to list additional risks, but we accept no liability to you or any third party in the event that any risk is not addressed in this section.

Disclaimers and liability

Limitations to Teranode Identity App. The Teranode Identity App is provided on an “as is” and “as available” basis for general information purposes only. The Teranode Identity App does not offer advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of information obtained from the Teranode Identity App. Although we make reasonable efforts to update the information provided by the Teranode Identity App, we make no representations, warranties, or guarantees, whether express or implied, that such information is accurate, complete, or up to date.

Please back-up content and data used with Teranode Identity App. We recommend that you back up any content and data used in connection with the Teranode Identity App, including to protect yourself in case of problems with the Teranode Identity App. We will not be liable to you if you lose any content or data as a result of failing to do back-up.

We are not responsible or liable for the actions of users of Teranode Identity App. All registered users of the Teranode Identity App must ensure that they have all necessary rights, authorisations, and permissions to use the Teranode Identity App. We will not be responsible or liable to you for the acts or omissions of any registered user of the Teranode Identity App.

We are not responsible for delays outside our control. If any transaction or process to be undertaken on or using the Teranode Identity App is delayed by an event outside our control, including as a result of any delays relating to the Blockchain, we will not be liable to you or any third party for delays caused by such event.

We are not responsible for the Teranode Identity Wallets and the Credentials. Data which you upload to your Teranode Identity Wallet will be stored in the Teranode Identity Wallet. None of this data will be transferred to our servers. We do not have any access to the Teranode Identity Wallets and do not have any visibility of the Credentials you upload to the Teranode Identity Wallets. To the extent that an Teranode Identity Wallet contains Credentials issued through the Teranode Identity Issuer portal or verified by a Verifier using the Teranode Identity Verification portal our systems will, where we host those services, record those events, (but at all times the keys which enable the use of those items remains held in your device). We will not be liable to you or any third party for the legality, accuracy, or completeness of the Credentials. If you uninstall the SSI Wallet or delete your account, all Credentials and related data stored in the Teranode Identity Wallet and used by the Teranode Identity App will be deleted.

Check that Teranode Identity App is suitable for you. The Teranode Identity App has not been developed to meet your individual requirements. Please check that the facilities and functions of the Teranode Identity App meet your requirements. We also make no representations or warranties that the Teranode Identity App will be free of viruses, bugs, or any malicious content.

Disclaimer. To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express or implied, statutory or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, title and non-infringement as to the Teranode Identity App and any content on the Teranode Identity App. This does not affect any warranties that cannot be excluded or limited under applicable law.

We are not liable for business losses or damage to your digital content. To the fullest extent permitted by law, we will have no liability to you for any loss of profit, loss of business, loss of, corruption of or damage to data or information, damage to the device or digital content, business interruption, or loss of business opportunity. Notwithstanding anything to the contrary in these terms in no event will our total aggregate liability to you exceed GBP £100.

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents, or subcontractors or for fraud or fraudulent misrepresentation.

Your liability to us. To the fullest extent permitted by law, you agree to indemnify, defend and hold us harmless, against all liabilities, costs, expenses, damages and losses suffered or incurred by us arising out of or in connection with: (a) your use of the Teranode Identity App; (b) your failure to perform your obligations under these terms; (c) your violation of any applicable laws and regulations; (d) your infringement of any third-party rights; (e) any false, inaccurate, misleading or deceptive information provided by you to us; (f) any investigation, claim, suit, action or other proceeding against us relating to or arising out of your use of the Teranode Identity App; and (g) breach of any representations, warranties and undertakings made by you to us under these terms.

We may end your rights to use Teranode Identity App or terminate these terms.

Termination. We may end your rights to use the Teranode Identity App and terminate these terms at any time, including if your breach these terms or fail to pay any applicable fees, by contacting you via the email address linked to your Teranode Identity App account. If we end your rights to use the Teranode Identity App and terminate these terms:

you must immediately pay to us all of the outstanding unpaid fees and interest (including the Teranode Identity App Fees and the Network Fees) in respect of your use of the Teranode Identity App;
you must stop all activities authorised by these terms, including using the Teranode Identity Wallet; and
you must delete the Teranode Identity App from all devices in your possession and destroy all copies of the Teranode Identity App which you have and confirm to us that you have done this.

Effect of termination. Termination or expiry of these terms shall not affect any of ours or your rights, remedies, obligations or liabilities that have accrued up to the date of termination or expiry, including the right to claim damages in respect of any breach of these terms which existed at or before the date of termination or expiry.

Teranode Identity Wallet closure. You may request to close and delete your Teranode Identity Wallet at any time. Closing or deleting the Teranode Identity Wallet will not affect any rights and obligations incurred prior to the date of the Teranode Identity Wallet closure or deletion. You are responsible for and we may seek to recover from you any fees, costs, expenses, charges, or obligations associated with the closing or deleting the Teranode Identity Wallet.

Feedback

If you would like to provide feedback on the Teranode Identity App (Feedback), please email us at [email protected]. By submitting the Feedback, you grant us a right to use the Feedback as necessary to improve the Teranode Identity App and we are not obliged to compensate you for any Feedback.

Other important terms

No partnership or agency. Nothing in these terms is intended to, or shall be deemed to, establish any partnership or joint venture between you and us, constitute any party the agent of another party, or authorise any party to enter into any commitments for or on behalf of any other party.

No exclusivity. These terms shall not prevent us from entering into similar agreements with third parties, or from independently developing, using, selling, or licensing products or services which are similar to those provided under these terms.

Entire agreement. These terms constitute the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between the parties relating to its subject matter.

Variation. We may vary amend, replace, supplement, delete, or vary these terms or any part of these terms at any time without notice to you.

Assignment. We may assign our rights and obligations under these terms (without your prior express consent), provided that your rights under these terms remain unaffected. You must not assign your rights and obligations under these terms.

Transfer. We may transfer the whole of part of the business to any third party. In the event that we are acquired by or merged with a third party, we may transfer or assign your information as part of the acquisition, merger, sale or other change of control.

Events outside control. Neither party will have any liability under or be deemed to be in breach of these terms for any delays or failures in performance of these terms which result from circumstances beyond its reasonable control.

Waiver. Any right or remedy granted to us for breach of these terms will be in addition to all other rights and remedies available to us. If we fail to or delay exercise of any right or remedy, or only exercise the same in part, this does not mean that we waive such right or remedy in full in the future.

Severance. If a court finds any part of these terms illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

Notices. Any notice given in connection with these terms shall be in writing and shall be either delivered by hand or by pre-paid first-class post or other next working day delivery service at a party's registered office (if a company) or its principal place of business (in any other case), or sent by email to the email addresses provided by that party for those purposes.

Governing law and jurisdiction. These terms and any dispute or claim arising out of, or in connection with, them, their subject matter or formation (including non-contractual disputes or claims) will be governed by, and interpreted in accordance with, the laws of England and Wales and the parties agree that the courts of England and Wales will have exclusive jurisdiction to settle such disputes or claims.
